The legal authority and operating control of the
institution are clearly defined for the following areas within the
institution’s governance structure: related foundations (athletic, research,
etc.) and other corporate entities whose primary purpose is to support the
institution and/or its programs.

Lawson State Community
College’s related foundations (athletic, research, etc.) and other corporate
entities primary purpose is to support the institution and/or its programs.
Alabama State Board of Education policy 213.01: College-Related Foundations (Policy 213.01). provides the legal
authority for the existence of the Lawson State Community College
Foundation. This policy applies to all
College-related organizations that fall within the parameters of §501(c)(3) of
the Internal Revenue Code, and their subsidiaries and affiliates, by whatever
name or description, which are organized and existing primarily for the benefit
of the respective Colleges in the system.
The Lawson State
Community College Foundation was officially incorporated on February 9,
1995. The Foundation supports programs
and activities that are in keeping with the mission of Lawson State Community
College (LSCC Mission
Statement). It is empowered to
encourage, receive and administer gifts for the exclusive benefit of the
College, its students and its staff. The
Foundation is responsible for identifying and nurturing relationships with
potential donors and friends of Lawson State; soliciting cash, securities, real
and intellectual property and other private resources to support the College;
and acknowledging and stewarding gifts in accordance with donor intent and its
fiduciary responsibilities. According to
the Memorandum of Agreement Between Lawson State Community College and The
Lawson State Community College Foundation the “Foundation” is dedicated to assisting
the College in the building of the endowment of the College and in addressing,
through financial support, the long-term academic and other priorities of the
College.” (Foundation Memo of
Agreement)
The Articles of Incorporation of the Lawson State Community College Foundation state that the
Corporation is organized to:
“....support Lawson
State by raising money for a permanent endowment for Lawson State Community
College, the income from which will be distributed to Lawson State Community
College, and for other capital and/or special projects, including, but not
limited to, purchase of equipment, erection of buildings, and provision of scholarships
for students to attend Lawson State Community College; and receive and maintain
a fund or funds of real or personal property….”
With regard to
operational control, the Lawson State Community College Foundation By-laws are
governed by a Board of Directors. The President of the
College serves ex-officio as a Director of the Foundation. Other Lawson State Community College
employees who work with the Foundation Board of Directors include the Vice
President for Administrative and Student Services and the Director of Public
Relations. The Memorandum of Agreement
clearly delineates that the Foundation shall establish asset-allocation,
disbursement, and spending policies that adhere to applicable Federal and State
laws and that the Foundation shall receive, hold, manage, invest, and disburse
contributions of cash, securities, patents, copyrights, and other forms of
property, including immediately vesting gifts and deferred gifts that are
contributed in the form of planned and deferred gift instruments. Lawson State
does not rely on funds from the Foundation to operate.
